1. ACCEPTANCE OF TERMS AND CONDITIONS

The following “Terms and Conditions” indicate regulations regarding use of www.adhoclegal.com  (the “Site”).  Any user or viewer (“You,” “you,” “User,” “user”) of the Site indicates his agreement to be bound by the Terms and Conditions.  Please review these Terms and Conditions carefully; your continued use of the Site signifies that you have agreed to the Terms and Conditions.  Ad Hoc The Legal Placement Company  (“Ad Hoc”) reserves the right to update or change these Terms and Conditions from time-to-time by revising the posting on this page.   You should review the Terms and Conditions periodically for any updates or changes.

2. COPYRIGHT AND LICENCE

The content of the Site, including text, graphics, images, logos, button icons, software, HTML code, and software, is protected under United States and foreign copyright, trademark, and any other applicable intellectual property laws.   All content is the sole and exclusive property of Ad Hoc.  Users are restricted from any unauthorized use of the content, including reproducing, reselling, or displaying the content of the Site for any purpose, by national and international laws.

Ad Hoc grants you limited, non-transferable, non-assignable, non-exclusive revocable license to view the Site for your personal and non-commercial use. 

3. ACCURATE AND APPROPRIATE INFORMATION

The Site may offer you the opportunity to submit or enter your employment or resume information.  When you submit or enter your information to the Site, you agree to provide accurate and complete personal information.  You agree not to impersonate any person or entity.  Further, you agree not to submit information that is copyrighted (unless you have the permission from the copyright owner) and not to submit information that infringes on the rights of other users, the site, or anyone else.  You agree not to submit information that has the potential to damage the property of any person or the Site by any means. 

4. REPRESENTATION AND CONFIDENTIALITY

By submitting or entering your employment or resume information to the Site, you are agreeing to allow Ad Hoc to represent you on a non-exclusive basis in your search for temporary or full-time employment.  With your prior approval, Ad Hoc will present your credentials to its clients who are seeking professionals with our educational qualifications and experience.  Ad Hoc will encourage its clients to meet with you and Ad Hoc will schedule all interviews for you.  You agree to refrain from discussing with anyone other than a representative of Ad Hoc any matter related to the compensation paid, offered, or discussed with you regarding an assignment, job, or potential assignment or job of which you were made aware by Ad Hoc.

5. PASSWORD SECURITY

The Site may present you with an opportunity to register with Ad Hoc using a password protected account.  Ad Hoc agrees to hold your password and account information in strict confidentiality.  Responsibility to maintain the secrecy of your password outside the site, however, falls to you.  You are responsible for all uses of your password and you should not reveal your password to any third parties for any unauthorized use.  You agree to immediately notify Ad Hoc of any unauthorized use of your password. 

6. PROHIBITED USES

As a user of the site, you agree that you will not engage in the following conduct:

a. you agree not to violate any local, state, and federal rules, regulations, statutes, including United States export laws and regulations, anti-discrimination laws, and equal opportunity employment laws;

b. you agree not to infringe on the intellectual property rights of any third party;

c. you agree not to threaten the security of the site, any system, other users, or anyone else by any means, including accessing unauthorized data, deleting or tampering with material posted by or for other users, or interfering with the services of the site or of any system;

d. you agree not to submit, upload, post, or store any material on the Site that is unlawful, offensive, defamatory, fraudulent, deceptive, misleading, harmful, threatening, harassing, obscene, or objectionable; breaches contractual or confidentiality obligations; disrupts or interferes with the normal operations of the Site; or contains any unauthorized advertising materials, unsolicited promotional materials, pyramid schemes, franchises, club memberships, sales arrangements, or otherwise unacceptable materials;

e. you agree not to infringe on the privacy rights of other’s by abusing the Site;

f. you agree not to breach or attempt to breach any security measures of the Site;

7. LAWFUL PURPOSE

The Site may be used only for lawful purposes by individuals seeking employment and career information.  You agree to use the Site for its intended career and educational purposes. 

8. THIRD PARTY LINKS AND CONTENT

The Site may contain links to third party websites.  These links are not endorsements for the third party sites.  Ad Hoc holds no responsibility for the security or the accuracy of the content of the third party web sites.  

The Site may include content submitted by or in cooperation with third party sources.  Ad Hoc holds no responsibility over the accuracy, claim, or intent of any third party content on the site.  Such third party content reflects the isolated opinion of that provider and does not necessarily reflect the views of Ad Hoc employees, administrators, users, or affiliates. 

9. TERMINATION

Ad Hoc reserves the right to terminate any services of the Site and remove any materials from the Site at any time.  Ad Hoc also reserves the right to terminate your access to any part or all of the services provided by the Site at any time, with or without cause or notice, for any reason. 

10. INDEMNIFICATION

Should a legal dispute arise from your use or misuse of the site, you agree to compensate and protect Ad Hoc.  If you violate these terms or any other law, you agree to indemnify Ad Hoc from all third-party claims, expenses, and damages associated with the violation. 

11. DISCLAIMER, LIABILITY, AND LIMITATIONS OF LIABLITY

Though Ad Hoc strives for accuracy and efficiency, it is possible that content errors may occur at times.  Once aware of these errors, Ad Hoc will try to make appropriate corrections, but Ad Hoc does not take responsibility for the completeness and accuracy of the content of the Site.  AD HOC OFFERS NO WARRANTY FOR THE ACCURACY, COMPLETENESS, OR FUNTIONALITY OF THE SITE AND ITS SERVICES.  AD HOC IS NOT RESPONSIBLE FOR THE ACCURACY OR LEGALITY OF THE CONTENT PROVIDED BY USERS.  ANY DAMAGES INCURRED BY USERS OR OTHERS RESULTING FROM THE QUALITY OF CONTENT IS NOT THE LIABLITY OF AD HOC. 

TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW, AD HOC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  AD HOC DOES NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATIONS OF ANY KIND REGARDING THE RESULTS OF THE USE OF MATERIALS OR SERVICES CONTAINED IN THIS SITE. 

Technical problems are inevitable threats to websites.  Ad Hoc is not immune to the possibility of technical difficulties and cannot be held responsible for any consequential damages that may affect others.  AD HOC OPERATES ON AN “AS IS” AND “AS AVAILABLE BASIS AND RESERVES THE RIGHT TO DISCONTINUE ITS SERVICES AT ANY TIME.  AD HOC IS NOT LIABLE FOR ANY DAMAGES RESULTING FROM THE USE OR INABILITY TO USE THE SITE.  ANY CONSEQUENTIAL DAMAGES, SUCH AS STORAGE PROBLEMS AND LOST DATA, AND ANY INCIDENTIAL DAMAGES, SUCH AS LOST PROFITS, ARE NOT THE RESPONSIBILITY OF AD HOC. 

UNDER NO CIRCIMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, WILL AD HOC, ITS PARENT COMPANY, OR ANY SUBSIDIARIES OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT MAY RESULT FROM THE USE OF, OR THE INABILITY TO USE AD HOC MATERIALS OR SERVICES.  YOU AGREE THAT IF YOU ARE DISSATISFIED WITH ANY AD HOC MATERIALS OR SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE YOUR USE OF THE SITE.

12. USER PRIVACY

Ad Hoc takes every measure to ensure the security and privacy of user information (see PRIVACY AND SECURITY STATEMENT).  While all personal information provided by users is strictly protected, Ad Hoc reserves the right to reproduce, edit, display, or otherwise handle the customer comments send by users to the site.  Ad Hoc may also share general aggregated data collected about users with third parties for advertising and marketing purposes. 

13. GENERAL

The Site and any related services are available to you only if you have the ability to enter into a legally binding agreement.  By using the Site, you warrant that you are an adult (18 years-old or older).  The Terms and Conditions of Use and the DISCLAIMER incorporate the entirety of the agreement between you and Ad Hoc and are additional to any other agreement between you and Ad Hoc.  These Terms and Conditions are governed by the relevant laws of the State of Texas, the United States of America, without giving effect to any principles of conflict of laws.  Using the Site in any jurisdiction that does not recognize this agreement is unauthorized.  If any provision of the Terms and Conditions of Use or the DISCLAIMER are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Terms and Conditions of Use and the DISCLAIMER, which shall remain in full force and effect.  No waiver of any term of the Terms and Conditions of Use or the DISCLAIMER shall be deemed a further or continuing waiver of such term or any other term.  Access to the Site may not be legal by certain persons or in certain countries.  If you access the Site from outside of the United States, you do so at your own risk and are solely responsible for compliance with the laws of your jurisdiction.
